Recent CEA Information Note now available
On 8 April 2024, the Corporate Enforcement Authority (“CEA”) published Information Note 2024/1 – Circumstances leading to disqualification under the Companies Act 2014 and the associated consequences. This Information Note has been published in light of the recommencement of strike-off proceedings by the Companies Registration Office (“CRO”) due to companies not having filed their annual returns. This Information Note highlights the serious consequences of disqualification of a director (not just in the context of a company’s failure to file annual returns), which include a prohibition from acting as a director or secretary for a period of 5 years, or, for more serious offences, charges on indictment.
